Gharam is a Saudi-qualified attorney specializing in mergers and acquisitions, private equity transactions, joint ventures, corporate restructurings, foreign direct investment, and complex corporate advisory matters in Saudi Arabia.
She advises Saudi, regional, and international clients across a broad range of industries on acquisitions, disposals, investments, corporate reorganizations, governance matters, regulatory compliance, and strategic commercial transactions. Her practice includes legal due diligence, regulatory advice, and support throughout the signing and completion process.
Gharam has experience advising multinational corporations, private equity investors, family groups, listed companies, and investment funds on market entry into Saudi Arabia, MISA licensing, corporate structuring, and ongoing regulatory compliance. She also advises on shareholder disputes, joint venture arrangements, governance issues, and cross-border investments throughout the GCC region.

- The seller in the SAR 3.4 billion acquisition of Thiqah Business Services Company by Elm Company, a Public Investment Fund portfolio company.
- On the acquisition of Obeikan Glass Company, including transaction structuring, regulatory and listed-company considerations, Tadawul disclosure requirements, review of material commercial arrangements, negotiation and drafting of transaction documentation, and support through signing and completion.
- A major Saudi real estate development project involving multiple landowners, strategic investors, and a licensed fund manager in connection with the structuring and establishment of a large-scale real estate investment fund for the development of an industrial city in Saudi Arabia, including fund structuring, governance arrangements, land contribution mechanisms, investor participation, and transaction documentation.
- On the acquisition of a controlling stake in the Saudi business operating the Alfaparf Milano brand, including legal due diligence, regulatory analysis, transaction structuring, and transaction documentation.
- A Saudi-listed company on a multi-entity business carve-out and corporate reorganization involving the separation of operating divisions into newly established subsidiaries, including the assessment of contractual, employment, licensing, environmental, and regulatory considerations.
- Allianz Saudi Fransi Cooperative Insurance Company in connection with its corporate rebranding and legal name change, including the implementation of the required corporate, regulatory, and Capital Market Authority approvals.
- A leading Saudi automotive group on pre-IPO restructuring, corporate governance, and regulatory matters in preparation for a potential public offering.
